Legal Agreement: Terms of Service
The Virgil reserves the right to update the TOU at any time. We will attempt to contact you to notify of any updates or changes within 30 days of their enactment using the contact information provided in your Membership Agreement.
The Virgil may provide you with access to office space, internet access, office
equipment, conference rooms, knowledge resources, and other (collectively, “Services”). The Services at all times are subject to the TOU. You represent that you are authorized to enter into this agreement and that your use of the Services will not conflict with or
result in any breach of any license, contract, agreement or other instrument or obligation to which you are a party. You agree that when participating in or using the Services, you will not:
1.1 Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming or any duplicative
or unsolicited message (commercial or otherwise);
1.2 Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of
1.3 Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful
topic, name, material or information.
1.4 Upload, or otherwise violated copyright, trademarks or other intellectual property by making files available that contain
images, photographs, software or other material, unless you own or control the rights thereto or have received all
1.5 Use any material or information, including images or photographs, which are made available through the Services in
any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;
1.6 Upload files that contain viruses, Trojan Horses, worms, time bombs, cancelbots, corrupted files, or any other similar
software or programs that may damage the operation of another’s computer or property of another;
1.7 Download any file(s) that you know, or reasonably should know, cannot be legally reproduced, displayed, performed,
and/or distributed in such manner;
1.8 Restrict or inhibit any other user from using and enjoying the Services;
1.9 Violate any code of conduct of other guidelines which may be applicable for any particular Service (including the
1.10 Harvest or otherwise collect information about others, including email addresses, without the authorization or consent
of the disclosing party;
1.11 Violate any applicable laws or regulations; and 1.12 Create a false identity for the purpose of misleading others. Access to our facilities is granted under the agreement that the tenant will maintain a clean workspace, wash their dishes, and not leave personal items in the space when not present. As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any server or network(s) connected to any Virgil server, or interfere with any other party’s use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, or accounts, computer systems or networks connected to any Virgil server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.
It is recommended, but not required, for members to obtain and maintain a policy or policies of comprehensive general liability insurance with respect to the respective activities of each in the Building with the premiums thereon fully paid on or before due date, issued by and binding upon some insurance company approved by Landlord, such insurance to afford minimum protection of not less than $1,000,000 combined single limit coverage of bodily injury, property damage or combination thereof. The Virgil shall be listed as an additional insured on Member's policy or policies of comprehensive general liability insurance, whenever applicable.
It is strongly suggested that each Member carry a Renters Insurance policy to cover equipment while using our space. That policy may cover your current residence/office, as well as the premises of The Virgil.
You agree to indemnify, defend, and hold harmless The Virgil, its officers, members, employees, agents and suppliers
from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees and court costs, resulting from
any violation of these terms and conditions (including, but not limited to, negligent or wrongful conduct) by you.
The Virgil reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to
indemnification by you, in which event you will cooperate with The Virgil in asserting any available defenses.
The Virgil reserves the right to terminate any Service at any time. Further, The Virgil reserves the right to terminate your participation in and use of any Services, immediately and without notice, if you fail to comply with the TOU.
By entering into this contract with The Virgil, you are entering into a month-to-month agreement requiring 30 days notice to cancel, unless you have entered into an additional lease agreement, the terms of which supersede those herein. Written notification of your intent to terminate must be sent by email to The Virgil staff and
the remaining charges for the final 30 days will be prorated on your credit card on file.
In the event that any provision or portion of this TOU is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this TOU shall be unaffected thereby and shall remain in full
force and effect.
All disputes or claims between the parties related to this Agreement shall be submitted to binding arbitration in accordance with the American Arbitration Association Commercial Arbitration Rules. The arbitration shall be resolved by a single arbitrator chosen by the parties, or if the parties cannot agree on a single arbitrator, a panel of three arbitrators which shall consist of an arbitrator selected by each party, and the arbitrators shall agree on the third arbitrator. If a party does not select
an arbitrator within 20 days, that party waives their right to participate in the selection, and the arbitrator selected by the other party shall be the arbitrator of the dispute. After filing, the arbitration shall take place no later than 70 days, unless both parties consent to an extension. Any arbitration proceedings brought by any party shall take place in the City of Reno, Nevada and shall apply to Nevada law. The prevailing party shall be entitled to recover its costs of enforcement including enforcement including, but not limited to,
attorney’s fees, arbitration costs and enforcement costs. Judgment upon the decision of the arbitrator may be entered into any court having jurisdiction thereof.
By signing this agreement you grant the absolute and irrevocable right and unrestricted permission concerning any photographs that are taken or may be taken of you. These photographs may be used with others, to use, reuse, publish, and republish the photographs in whole or in part, individually or in connection with other material, in any and all media now or hereafter known, including the internet, and for any purpose whatsoever. You release and discharge The Virgil from any and all claims and demands that may arise out of or in connection with the use of the photographs, including without limitation any and all claims for libel or violation of any right of publicity or privacy.
All Member payments are due on the first business day of each month. The Virgil reserves the right to charge late fees and/or withhold services if payments are not received on time. Payments made beyond the 5th date of any month will incur a $10 late fee per day. We accept credit cards and ACH payments, all credit card charges will incur a 2.9% processing fee. There is no fee for ACH payments.
Dogs and other pets are allowed to be with their Owner-Members inside of The Virgil. A separate pet waiver must be signed prior to any Member bringing their pet on site.
Standard hours of operation are 6am to 6pm Monday through Friday. Members do not have the right to access the space outside these hours without the prior written consent of staff. Occasionally, the space will be closed due to cleaning, building repair, or for a special event. The Virgil reserves the right to close from time to time. Any permanent changes to the normal building hours will be posted 30 days prior to said change.
